This Master Agreement Portfolio is for the provision of Managed Service Provider (“MSP”) services and an operational Vendor Management System (“VMS”) for information technology (“IT”) staffing resources, payroll staffing, and staffing support related to Contingent Workers in the IT industry. Contractor Services shall also include assisting Purchasing Entities with Statement of Work (“SOW”) drafting. Contractor Services shall be detailed in a SOW for Deliverable-based projects or in an applicable Purchase Order for hourly rate staff augmentation.

Participating Entities should consider the following when developing a Participating Addendum (“PA”):

• Exhibit A, Description of Deliverables includes the anticipated staff augmentation (hourly-based) process and SOW (Deliverable-based) process. Participating Entity may outline a different process or establish different requirements in a PA.
• Participating Entity may establish a monetary cap for SOW (Deliverable-based) engagements in a PA or as applicable, in Purchasing Entity SOW.
• Participating Entity may include its Health Insurance Portability and Accountability of 1996 requirements in a PA or as applicable, in Purchasing Entity’s SOW.
• Exhibit E, Sample SOW and Exhibit F, Maximum Key Performer Worksheet are included for convenience purposes and may be used by Purchasing Entity as needed.
• Participating Entity may establish a set aside purchasing process and set aside purchasing requirements in a PA.
• Participating Entity may request VMS account set-up instructions from Contractor to be used by Participating Entity as needed.
